A Cyprus shelf company, also known as a ready-made company, is a company that has already been established and registered with the Cyprus Registrar of Companies but has not carried on any business activity.
In simple terms, the company already exists and is ready to be acquired. Instead of forming a new company from the beginning, you purchase the shares of an existing one.
Once the company is acquired, the shares are transferred to the new shareholder or shareholders. The directors, secretary, registered office and other corporate details can also be changed to reflect the new ownership and the way the company will operate.
The company's name can also be changed, subject to the new name being approved by the Cyprus Registry.
It is important, however, to distinguish a genuine shelf company from an older company that has previously been used.
A company that has traded in the past may have entered into contracts, incurred debts or taken on other obligations. A genuine shelf company is different: it has been incorporated specifically to be held for future acquisition and should have no previous trading history.
This is why the history of any existing company should always be checked before you buy it.

For most businesses, new company registration is the obvious choice. But there are situations where having an existing company can be useful.
The main advantage of a ready-made company is that it has already been set up. You do not need to wait for a new company to be registered before you can move forward.
Once the required KYC and compliance checks have been completed and the acquisition documents signed, the shares can be transferred to the new owner.
A shelf company is therefore particularly useful where an existing corporate vehicle is required for immediate purchase and use.
Sometimes it is simply a question of timing. You may need a legal entity for an acquisition, contract or another transaction that is already moving forward.

A company that is already registered is not necessarily a better option than setting up a new company. A shelf company may also cost more than a new company registration, particularly where an older incorporation date is required.

Before the company can be transferred, we need to complete our standard KYC and compliance checks.
We will usually ask for identification and proof of address for the ultimate beneficial owners, information about the business the company will carry on and, where required, details of source of funds or source of wealth.
The fact that the company already exists does not remove the usual KYC and beneficial ownership requirements.
Once the compliance process is complete, we proceed with transferring ownership of the company by transferring the shares to the new shareholder or shareholders.

Information held by the Cyprus Registrar of Companies can also be used to check the company's corporate history, including its directors, shareholders, share capital, registered charges and filed documents.

Cyprus Ltds are required to maintain and report information on their ultimate beneficial owners through the Beneficial Ownership Register. Changes in beneficial ownership must therefore be recorded so that the company's beneficial ownership information reflects its actual ownership over time.

Cyprus companies are also required to maintain and report their beneficial ownership information through the Beneficial Ownership Register, so the company's beneficial ownership records must be updated following a change of ownership.
Not necessarily. The fact that a company has been incorporated for some time does not, on its own, make it easier to open a bank account.
Banks and payment institutions will carry out their own KYC and onboarding checks and will look at the current shareholders, beneficial owners and directors, as well as the company's activities, expected transactions and source of funds.

The existing directors can resign, and your own directors can be appointed. Alternatively, where appropriate, the existing arrangements can remain in place.
The same applies to the registered shareholders. You can be registered directly as the shareholder of the company, in which case the shares will be transferred into your name. If you require nominee shareholders, the registered shareholders may remain unchanged and the appropriate trust deeds will be issued to reflect your beneficial ownership.

When a shelf company is sold, its beneficial ownership is updated to reflect the person or persons who ultimately own or control the company following the acquisition.
The new beneficial ownership begins from the actual date of the change; it does not go back to the date on which the shelf company was originally incorporated.
The company's beneficial ownership information must also be updated in the Cyprus Beneficial Ownership Register within the applicable timeframe. Meridian handles this update as part of the acquisition process.
