They now want to operate from Cyprus, but forming a new company could require a transfer of assets to a separate legal person. Cyprus would give the company a base within the EU single market while allowing its owners to manage the business from here.

Cyprus allows eligible foreign companies to continue here. For a foreign company, the first step is to establish whether it can leave its current jurisdiction. Your advisers in the foreign jurisdiction should confirm the local requirements, including any approvals needed to move out.
The company to be redomiciled, must be in good standing and must not be subject to insolvency or liquidation proceedings.
Some jurisdictions provide a route for companies to continue abroad. For example, Canadian federal law and Delaware law in the United States allow eligible companies to do so, subject to their requirements. The position depends on the law under which the company was incorporated; the US and Canada should not be treated as having a single rule for every company.

Redomiciliation involves two jurisdictions. Advisers where the company is currently registered handle the requirements for moving out, while Meridian Trust guides its continuation in Cyprus and manages the filings with the Cyprus Registrar of Companies.
Your advisers in the current jurisdiction confirm that the company may redomicile, is in good standing and has met any local requirements for moving out. We review its structure, ownership and activities for the application with the Cyprus Registrar of Companies, then give you a clear list of the documents and decisions needed.
We seek approval from the Cyprus Registrar of Companies to use the company’s existing name and prepare the revised constitutional documents and required resolutions. We also confirm how its share capital will be recorded in documents prepared to meet Cyprus Law and Registrar requirements. If the company has bearer shares, these will need to be converted into registered shares as part of preparing the company for continuation.
The company must also formally approve its redomiciliation to Cyprus. Where a special resolution of shareholders is required, advisers in the current jurisdiction arrange for it to be passed. We then include the authorising resolution or equivalent document in the Cyprus application and confirm how the company’s share capital will be recorded.
Your Meridian lawyer submits the application to the Cyprus Registrar of Companies with the supporting documents. These include evidence of good standing, a director’s solvency affidavit, approval of the move and evidence that the competent authority in the company’s current jurisdiction has been informed of the proposed move. We will advise you which documents need certification, authentication or translation.
If the Cyprus Registrar of Companies is satisfied, it issues a temporary certificate of continuation and the overseas company is then provisionally registered in Cyprus.
The company’s advisers in the foreign jurisdiction complete the transfer out and obtain the necessary steps required to end its registration there and obtain the necessary evidence of discontinuance.
We submit that evidence to the Cyprus Registrar with Form ME4. It must ordinarily be filed within six months of the temporary certificate; an additional three months may be granted for reasonable cause. The Registrar then issues the final certificate of continuation.
The redomiciled company can then continue its operations in Cyprus, supported by our corporate administration and accounting teams.
